Although TimePass Media would strive to ensure that none of its Partners would wish to exit during the relationship and would take all steps to make the relationship stronger and better for mutual benefits, there might be unforeseen reasons that may prompt the Local Partner to opt out of the partnership.

Subject to risks associated with any business, and subject to various conditions of the agreement between TimePass Media and the Local Partner, TimePass Media shall work closely to provide fair and transparent exit options to the Local Partners, either by taking over the unit and its liability, or by buying Local Partner's shares or refund of the Local Partner's cash contribution with simple interest. These options shall be exercised on a case to case basis and among other conditions are as much subject to fair business dealings by the Local Partner as that of TimePass Media and the conditions that the bankers or financial institutions may have imposed at the time of financing the Project.
